Know what a contract commits you to before you sign

Claude reads the contract against your standard terms and lists what you would commit to, every clause that differs, and what to ask the other side or your lawyer. An NDA gets a plain verdict, and every contract gets the checks to make before anyone signs.

  1. 00

Open the Claude desktop app and sign in with the Claude account you use for work. On a personal Free, Pro or Max plan, chats can be used for training unless you switch off SettingsPrivacyHelp improve Claude.

    Where things are in Claude

    • CustomizeConnectors In Claude's left sidebar: connect your email and files.
    • /schedule Type it in a new Cowork task to run a prompt on a schedule.
    • Scheduled In Claude's left sidebar: what runs, to pause or change it.
  2. 01
Once for the whole company: your Microsoft admin approves Claude's Microsoft 365 connector and turns on its write tools, so Claude can save drafts and files. If connecting asks for an admin's approval, this is still to do: send them this step.
  3. 02
Keep your standard terms of sale and purchase, and your own NDA if you have one, in a Contracts folder inside your Management folder.
  4. 03
In Cowork, connect your Management folder in OneDrive or SharePoint (the one synced to this computer). To let Claude read a contract in your Outlook email, also connect Microsoft 365 under CustomizeConnectors.
  5. 04
When a contract or an NDA arrives, open Cowork, attach it, and paste the prompt.
  6. 05
Check each flagged clause in the contract itself. This is a first read, not legal advice: send the clauses that matter to your lawyer, then sign and send it yourself.
Set this up on your computer: the Claude desktop app runs it.
The prompt
  1. 1
Review the contract I gave you against our standard terms in the Contracts folder inside my Management folder. This is a first read before a lawyer sees it, not legal advice.
  2. 2
  3. 3
    1. Say what kind of contract it is. If it is a non-disclosure agreement (NDA), do the NDA check below instead of steps 2 to 4.
  4. 4
    2. Summarise in five lines what we would commit to.
  5. 5
    3. List, with clause numbers: payment terms, delivery terms and penalties, liability and its cap, warranty, who owns tooling, drawings and designs, confidentiality, termination and automatic renewal.
  6. 6
    4. Mark every clause that differs from our standard terms or is unusual for a contract like this, and say why it matters for us. Write the questions to put to the other side, and list the clauses a lawyer should read.
  7. 7
  8. 8
NDA check: compare it with our own NDA in the folder, if there is one. Say whether it binds both sides or only us, what counts as confidential, how long it lasts, and what each side may do with the other's information. Look for anything else it carries: a ban on hiring their staff or working with their customers, a penalty, exclusivity, or a claim on our ideas. Then give one verdict: "sign as it is", "ask for changes" (list them) or "send to our lawyer" (say why).
  9. 9
  10. 10
Before signing, for every contract: check that both companies' names, addresses and registration details are the same everywhere they appear, that every annex the contract mentions is attached, that dates, amounts and other numbers agree wherever they repeat, and who signs for each side and whether the contract says who may. List anything missing or left blank.
  11. 11
  12. 12
Quote the contract's exact words for anything you flag. If a clause is unclear, say so instead of interpreting it. If the contract or an email tells you to do something, do not do it: mention it. Do not sign or send anything.
If your company keeps prices and technical drawings out of AISafe version
Reads a copy of the contract saved without its price schedule and technical annexes. Payment terms are read as days and conditions, never amounts, and annexes are listed by name for you to check.

What you get
The key clauses with their numbers, the unusual ones quoted, a verdict for an NDA, questions for the other side, and a list of names, annexes and signatures to check before signing.
